HistoWiz’s PathologyMapTM (the “Database”) or any successor website ( the “Site”) allows HistoWiz to upload or contribute slide images of, and related information or metadata about, tissue samples (collectively, “Slide Content”) to the Site for third parties to access, copy, download and use for the Purposes (as defined below). Slide Content that is uploaded or contributed to the Site is defined as a “Contribution.”

HistoWiz will not make Client’s Contributions available or accessible through the Site to any third party without Client’s express consent for one (1) year from the date Client makes its Contribution (the “Authorized Release Date”).

To the extent so indicated by Client with respect to an Order Form issued according to this Agreement, Client grants HistoWiz and users of the database (such users and customers of such databases hereinafter referred to as “Database Users”), a non-exclusive, perpetual, royalty-free worldwide license to use, share, copy, store, reproduce, process, adapt, modify, sublicense, publicly display, sell, advertise, market, and distribute the Contributions from such Order Form only as permitted by the Agreement and this Exhibit A and only after the Authorized Release Date (the “License”).

If, at any time prior to the Authorized Release Date, Client does not wish to not have all or any part of its Slide Content made available or accessible through the Site or any of our databases, then Client may upon written notice to HistoWiz revoke the License with respect to such Slide Content. In such case, HistoWiz will not make the specified Slide Content available or accessible through the Site or any of its databases; provided that, if Client received a discount on HistoWiz services for agreeing to contribute Slide Content then Client shall pay back any related discounts received. If Client wishes to revoke the License with respect to specific Slide Content after the Authorized Release Date relating to publication then the parties agree to work in good faith together to reasonably accommodate such requests.

After the Authorized Release Date, HistoWiz may make Contributions available and accessible through the Site for the benefit of the Database Users. HistoWiz or Database Users may access, copy, download, keep, store, transmit, use, repurpose, analyze, and create derivative works of Contributions (collectively with all potential uses, “Use” or the “Uses”). HistoWiz will require the Database Users to agree to the Site’s Terms of Use version that exists at the time, which will restrict the permissible Uses. HistoWiz or Database Users may Use the Contributions for their own or for third party purposes, which may include commercial and research purposes (collectively the “Purposes”).

HistoWiz agrees that Client will in no way be attributed or traceable in the Database as the provider of the Contribution.
